Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Coppice platform operated by Zhan Capital LLC ("Coppice," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility and Accounts

You must be at least 18 years old and have the authority to bind your organization to these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

2. Acceptable Use

You agree not to:

• Use the Service to violate any law or third-party right.
• Reverse engineer, decompile, or attempt to extract source code.
• Use the Service to send spam, malware, or unsolicited communications.
• Upload content you do not have the right to upload, or that infringes intellectual property, privacy, or other rights.
• Interfere with or disrupt the Service or the data of other users.

3. Customer Data

You retain all rights to data you upload or generate through the Service ("Customer Data"). You grant us a limited license to host, process, and display Customer Data solely to provide and improve the Service for you. We do not use Customer Data to train foundation models without your explicit consent.

4. AI Outputs

The Service generates outputs from AI models. Outputs may be inaccurate or incomplete; you are responsible for reviewing and approving outputs before they are sent or acted upon. Coppice is a tool, not a substitute for human judgment.

5. Subscriptions and Billing

Paid plans renew automatically until cancelled. Fees are non-refundable except where required by law. We may change pricing on renewal with at least 30 days' notice.

6. Termination

Either party may terminate for convenience with 30 days' notice. We may suspend or terminate immediately for breach of these Terms. On termination, you may export your data for 30 days; thereafter we may delete it.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

9. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Disputes will be resolved in the state or federal courts of Delaware.
